Konecranes Plc: Board of Directors' organizing meeting

Konecranes' Board of Directors elected in today's Annual General Meeting has held its first meeting.

Pasi Laine was elected as Chair of the Board and Ulf Liljedahl was elected as Vice Chair of the Board in the Annual General Meeting.

The Board of Directors decided to continue with an Audit Committee and a Human Resources Committee.

Ulf Liljedahl was elected Chair of the Audit Committee, and Gun Nilsson, Päivi Rekonen, Birgit Seeger and Marco Wirén as Committee members. Pasi Laine was elected Chair of the Human Resources Committee, and Matts Rosenberg and Thomas Schulz as Committee members.

All Board members are deemed to be independent of the Company and all Board members with the exception Matts Rosenberg are deemed to be independent of the Company's significant shareholders.

Matts Rosenberg is deemed not to be independent of a significant shareholder of the Company based on his current position as Chief Executive Officer at Solidium Oy.

Ari Bertula was nominated as the employee representative in the Board of Directors. The employee representative is not a member of the Board of Directors.

In its first meeting, the Board of Directors also made a clarifying decision on the earlier announced Performance Share Plans (PSP) and Employee Share Savings Plans (ESSP). As the Annual General Meeting today decided on a share split, the Board of Directors decided to adjust the grants under the unvested PSP 2024, PSP 2025 and PSP 2026 by multiplying the gross number of shares for each PSP by three. Regarding the ESSP 2023, ESSP 2024 and ESSP 2025, the Board decided that matching shares are issued in accordance with the rules of each plan also for the additional shares received in connection with the share split.
