The company intends to distribute excess cash to the shareholders after investments into innovation, capital expenditure, dividend payments and organic and inorganic growth initiatives by way of share buybacks.

 

Resolutions of Konecranes Plc's Annual General Meeting of shareholders: Read release    

The AGM authorized the Board to decide on the repurchase of the Company's own shares and/or on the acceptance as pledge of the Company's own shares as follows.

The number of own shares to be repurchased and/or accepted as pledge based on this authorization shall not exceed 22,500,000 shares in total, which corresponds to approximately 9.5 per cent of all of the shares in the Company. The Company together with its subsidiaries cannot at any moment own and/or hold as pledge more than 10 per cent of all the shares in the Company. Only the unrestricted equity of the Company can be used to repurchase own shares on the basis of the authorization.
 

Konecranes commences a share buy-back program: Read release

The Board of Directors of Konecranes has decided to commence a repurchase of Konecranes’ own shares (“buy-back program”) on the basis of the authorization granted by the Annual General Meeting held on March 26, 2026. This buy-back program is in line with the new capital allocation principles defined by the company. The main terms of the buy-back program are:

•    The maximum monetary amount to be used for the program is EUR 100 million, however 4,250,000 shares at maximum, which technical maximum would correspond to approximately 1.8% of the total number of shares. 
•    The shares will be repurchased in public trading on Nasdaq Helsinki otherwise than in proportion to the existing shareholdings of Konecranes’ shareholders, at the market price quoted at the time of purchase on Nasdaq Helsinki Ltd, using the Company’s unrestricted equity. 
•    The shares shall be repurchased to reduce Konecranes’ capital. 
•    The share buy-back program shall commence on November 1, 2026, at the earliest, and end by March 17, 2027, at the latest. Within the limits of the program, the broker will carry out the purchases at maximum EUR 25 million during any given calendar month. Repurchased shares will be cancelled at the latest after the program has ended.

The repurchases will be carried out in accordance with the so-called safe harbour rules referred to in Article 5 of the EU Market Abuse Regulation (EU N:o 596/2014). Konecranes has appointed a third-party broker as the lead manager for the buyback program. The broker will make trading decisions independently, without influence from Konecranes.

Prior to the commencement of this program, the company holds, directly and through its subsidiaries, a total of 22,911 treasury shares.
